The firm, in addition to its focus on commercial work, was also prior to the advent of democratic government in South Africa involved in human rights work and numbered among its clients former President Nelson Mandela whilst he was on Robben Island.
Today, the firm has evolved into a niche corporate law service provider, focusing on both local and international corporate clients (and their executive's) needs in regard to Commercial and Corporate Law, including Mergers and Acquisitions, Property Law and Developments, Commercial Litigation (including Insolvency), Labour Law and Wills and Estate Planning.
The firm's client base includes a number of clients listed on the Johannesburg Stock Exchange, as well as clients listed on stock exchanges internationally.
Commercial and Corporate Law
The commercial and corporate law department is geared to the full spectrum of the corporate and entrepreneurial client's requirements in regard to commercial transactions and general commercial and corporate law practice. Our areas of expertise include corporate structuring, mergers and acquisitions, competition law, black empowerment transactions, franchising and the drafting of all associated commercial agreements.
We believe that we are able to provide to our clients a consistent and high standard of service. We have also developed a network of local and overseas associates, and are able to provide our clients with access to additional skills and advice that may be required in regard to commercial transactions, including relating to the financial, taxation and accounting disciplines.
Our Property and Conveyancing Department specializes in all aspects of Property Law including developments (and their structuring in order to maximize profit potential), property syndications, structured finance involving property and the establishment of residential lifestyle estates such as golf estates etc. We also handle the full spectrum of conveyancing flowing from these and other property related transactions, as well as attending to registration of transfers and mortgage bonds for most of South Africa's major financial institutions.
The firm's labour and employment law department deals with all aspects of this wide area of law. This includes litigation in the High Court, Labour Courts and employment tribunals, namely the Commission for Conciliation, Mediation and Arbitration (CCMA) and various bargaining councils; advising clients on a wide range of labour related strategic issues including employment equity, disciplinary matters and retirement funds; and the drafting of employment related contracts such as service agreements, restraints of trade, disciplinary codes and collective agreements involving trade unions. These services and many others are provided to our corporate clients, both commercial and trade union, as well as executive clients.
Given the commercial focus of our firm, the bulk of the litigation undertaken by us is in the realm of commercial and corporate law, primarily in regard to contractual disputes and ancillary matters concerning commercial and corporate life, such as restraint of trade enforcement and unlawful competition matters. We also have considerable expertise in the field of insolvency and undertake a substantial amount of litigation in that field.
Wills and Estate Planning
Our Wills and Estate Planning Department views each clients estate planning requirements individually. The focus is on assisting the client to form a composite plan covering the clients various assets classes in order to maximize efficiency, including through the minimizing of Estate Duty, Capital Gains Tax and Donations Tax payable. Our services include the drafting of wills (both in South Africa and internationally), the formation of trusts and the advising of clients generally in regard to their estate planning requirements. We also attend to the winding-up of deceased estates and the administration of trusts.
